Director's Loan Agreement (Company to Director) template

Records a loan from a company to one of its directors. It is included in every Buzz Legal subscription.

The law it is built on

Companies Act 2006 s.197 (a company may not make a loan to a director without the approval of the members by resolution, and a memorandum of terms must be available); s.207 (exception where the aggregate does not exceed £10,000); s.213 (civil consequences of contravention — the transaction is voidable); Corporation Tax Act 2010 s.455 (tax charge on a loan to a participator outstanding nine months and one day after the accounting period end) and s.458 (relief on repayment). Checked 1 Sep 2026.

Before you use it

Read it against your own business before you issue it, and change what does not fit: what you sell, who you sell to, what you have already agreed and what has already gone wrong decide whether a clause protects you. If the other side has already threatened a claim, that is a dispute, and it goes to AD Solicitors.

What is in it

The document has 6 numbered sections:

Filling it in

Everything in square brackets is a blank for you to complete: names, dates, figures and the terms particular to your business. Read the whole document before you send it, and check most closely the clauses on what happens when something goes wrong, because they are drafted for businesses in general.

If a clause does not apply, take it out rather than leaving it blank.

Common questions

How do I get this template?

The library is included in every Buzz Legal subscription, which starts at £49 +VAT a month. One plan opens all of them, and they are kept current as the law changes. If you only need this one document and do not want a plan, we will draft it around your business for a fixed fee agreed before anything starts.

Will it be right for my business?

It covers what the law requires for this kind of document. It does not know your business, so have the clauses on what you are liable for, what happens when things go wrong and who owns what read against your own situation.

What does it cost to have it done properly?

A contract review is a fixed £249 +VAT and covers one document read in full with the risks marked up. Drafting from scratch is priced per job and agreed in writing before anything starts. If legal questions come up most months, compare the cost of paying per job with a subscription from £49 +VAT a month.
