Partnership Act 1890 s.1 — a collaboration carrying on business in common with a view of profit IS a partnership (joint several liability, fiduciary duties) whatever the label; the agreement therefore structures contributions, revenue and decision-making so the no-partnership statement reflects reality. Where a JV company is preferred, use the Shareholders' Agreement template instead. Competitor collaborations can engage the Competition Act 1998 Chapter I — flagged for legal review where the parties compete.
A template is a starting point, not advice on your situation. It cannot know what you sell, who you sell it to, what you have already agreed or what has already gone wrong, and those are the things that decide whether a clause protects you. Read it against your own business before you issue it, and change what does not fit.
