A standstill agreement is a contract not to take the limitation point for an agreed period. The template is included in every Buzz Legal subscription.
Limitation Act 1980 s.5 — an action founded on simple contract may not be brought after SIX YEARS from the date the cause of action accrued; s.8 — twelve years for a specialty (a deed); s.29(5) and s.30 — acknowledgment in writing signed by the debtor, or part payment, restarts the six-year period. A standstill agreement is a contract not to take the limitation point for an agreed period; it does not extend the statutory period itself, so the drafting must make clear whether time is suspended or the defence is waived. Read it against your own business before you issue it, and change what does not fit. If the other side has already threatened a claim, that is a dispute, and it goes to AD Solicitors.
