Supplier contract review at a fixed £249

When a supplier sends their contract or standard terms to sign, we read the whole document, mark it up and send it back within 5 working days, for a fixed £249 +VAT.

Standard terms are written for the supplier

A supplier’s standard terms set the risk in the supplier’s favour: their liability capped low, their payment terms, their cancellation charges and an automatic renewal. Asking for changes is normal, and suppliers expect it.

The review tells you which clauses to push back on, and what to ask for, before you sign.

The clauses we check first

The clauseWhat supplier terms often doWhat the review looks for
LiabilityCap the supplier’s liability at the fees paid, and exclude indirect and consequential lossWhether the cap covers the damage a failure would do to you, and what sits outside it
IndemnitiesAsk you to indemnify them for a wide set of lossesWhether an indemnity a page after the cap exposes you beyond it
RenewalRoll the contract for another full term unless you give notice inside a narrow windowThe notice date, so it goes in your diary before you sign
PriceAllow price rises during the term, or commit you to a minimum spendWhat can change the price, by how much and on what notice
Delivery and scopeDescribe what they supply loosely, with timescales as estimatesA description precise enough that both of you would recognise a failure
Ending itGive them termination rights you do not haveHow each side ends it, and what happens to your data and materials on the way out

Liability for death or personal injury caused by negligence cannot be excluded at all, and unreasonable exclusions can be struck down under the Unfair Contract Terms Act 1977.

Longer contracts and several documents

A ten-page supply agreement and a sixty-page framework contract with schedules are both a contract review, so the £249 covers a contract of ordinary length. A long document, several linked documents or more than two parties is priced first, and you get the figure before we start.

Negotiating with the supplier for you, and repeated rounds of mark-up as the deal changes, are priced separately. The suggested wording is for your reply to the supplier, and it is not operative drafting to rely on without advice on your circumstances.

If the contract is already in dispute, it goes to AD Solicitors (SRA no. 8011228), and you are told that before you spend anything. Work carried out by AD Solicitors carries the full SRA framework, including the compensation fund and the Legal Ombudsman. Work we carry out ourselves does not.

Buzz Legal handles contracts, terms of trade, employment paperwork and dispute preparation. Court work, and the other activities reserved by law, are carried out by AD Solicitors, authorised and regulated by the Solicitors Regulation Authority (no. 8011228), and you are told which yours is before you spend anything. How this works, in full. This is information, not advice on your situation.

Common questions

How much does a supplier contract review cost?

A fixed £249 +VAT for a supplier contract of ordinary length, agreed in writing before anything starts, or £224.10 +VAT for subscribers. Business Legal at £249 +VAT a month includes up to three contract reviews of around 20 pages a month. A long framework agreement or several linked documents is quoted before we start.

How long does it take?

The marked-up copy comes back within 5 working days of you sending the contract. If you face a signing deadline, say so in the first email.

Will you negotiate with the supplier for me?

Negotiating with the other side for you, and repeated rounds of mark-up as the deal changes, are priced separately. The review gives you a marked-up copy, a summary of what to push back on and suggested wording for your reply, so you can take it to the supplier yourself.

I have already signed. Is a review still useful?

Yes, and most of all before a renewal or when something has started to go wrong. The review then tells you where you stand: what you are committed to, when the next notice date is and whether there is a way out. If the matter has already become a dispute it stops being fixed-fee work, and we tell you which it is.

Which contracts does the review cover?

Business-to-business contracts: supplier, client, reseller and partnership agreements, for businesses in England and Wales. Consumer-facing terms are priced as part of a terms and conditions package.
